Annual Meeting Registration
Registration for the 83rd Annual Meeting of Southern Indiana Power began at 6 p.m. on Tuesday, June 19, 2022, at the Tell City High School auditorium, with the business meeting beginning at 7 p.m.
Members also registered for the 2022 Annual Meeting and cast votes for the director election either by mail or by dropping off their registration/ballot at the office of the cooperative by noon today.
Opening/Welcome
The national anthem was played.
Call of Meeting to Order
Chairman Jeff Vogel called the 2022 Southern Indiana Power Annual Meeting to order and thanked the members in attendance.
Chairman Vogel introduced Rev. Luke Waugh of St. Isidore Catholic Church in Bristow, who presented the invocation.
Next, Chairman Vogel introduced the present board of directors.
Reading of Notice of Meeting and Proof of Mailing
Attorney Chris Goffinet reported a quorum was met, with 2,011 members registered. There were enough members registered to legally conduct all business brought before the meeting.
Approval of 2021 Annual Meeting Minutes
Chairman Vogel advised the 2021 annual meeting minutes were distributed. There being no additions or corrections, Chairman Vogel asked for a motion to approve the 2021 Annual Meeting minutes. A motion was properly made, seconded and carried to approve the minutes of the 2021 Annual Meeting as presented.
Election of Directors
Chairman Vogel called upon attorney Chris Goffinet for director election results. He stated that District 1 incumbent Jeff Vogel filed for re-election with no opposition and District 2 candidate Chris Burroughs filed for election with no opposition. The District 7 seat was opposed by incumbent David Lynch, who filed for re-election, and candidate Larry Meyer, who filed for election.
The counting committee, having been appointed by Secretary/Treasurer Kevin Waninger, reported the results of the election to attorney Chris Goffinet. The winners were: District 1, Jeff Vogel; District 2, Chris Burroughs; and District 7, David Lynch.
Financial Report
The financial report was presented by Earl Ridlen, CPA, CGMA of London Witte Group, LLC. A motion was properly made, seconded and carried to approve the financial report as presented.
The 2021 cooperative financials will be made available to all members on the cooperative’s website and will be published in the Indiana Connection magazine.
CEO Report
CEO Seibert provided an update on the state of the cooperative. The report will be available to all members on the cooperative’s website and be published in the Indiana Connection magazine.
Adjournment
There being no further business, Chairman Vogel asked for a motion to adjourn the meeting. A motion was properly made, seconded and carried that the meeting be closed.
Chairman Vogel adjourned the meeting at 7:45 p.m.
