Watt’s Up: Seeking committee members

The Board of Directors is seeking three nominating committee members for each of the following districts:

District 4: Comprised of all members residing in Center, Hogan and Washington townships in Dearborn County; Randolph township in Ohio County; and Posey and York townships in Switzerland County.

District 5: Comprised of all members residing in Cass, Pike and Union townships in Ohio County; Caesar Creek township in Dearborn County; and Brown, Shelby, and Otter Creek townships in Ripley County.

District 9: Comprised of all members residing in Jackson, Johnson, Franklin, Center, Delaware and Washington townships in Ripley County.

Purpose of the Nominating Committee

Nominating Committee members serve an important role in the cooperative’s governance. The Committee is responsible for reviewing the qualifications and characteristics of potential director candidates and officially nominates a slate of candidates from each district.

Committee Constitution

  • The Nominating Committee members and chairperson are appointed by the Board of Directors for each district.
  • Each district committee is comprised of three members from that district.
  • The committee should reflect the diversity of the members of the cooperative in that district.

Goals and Resources

  • The Committee nominates director candidates to ensure Board membership remains at the level set in the Bylaws.
  • The nominating committee interviews each prospective candidate.
  • The REMC provides a nominating committee toolkit to the chairman of each district’s nominating committee to aid in the selection and nomination of qualified director candidates.
  • Legal counsel on governance matters will be made available by the Corporate Attorney.
